The Role

We are seeking a highly motivated associate to join the Corporate group in our growing Montréal office. As a member of this group, you will play a pivotal role in providing comprehensive legal services to diverse and sophisticated clients, from both the public and private sectors, engaged in complex transactions. In this role, you will be required to work proactively and assist in the drafting and negotiating of purchase agreements and related transactional documents, as well as advise clients on commercial law matters.

Essential Functions

  • Advising clients on a wide range of transactions, including mergers and acquisitions, private equity investments, corporate reorganizations and joint ventures, across various industries and sectors;
  • leading the legal due diligence review process, identifying and assessing risks associated with proposed transactions and providing optimal risk mitigation remedies;
  • drafting, reviewing, and negotiating transactional documents, including purchase agreements, shareholder agreements, partnership agreements and other related agreements;
  • providing strategic guidance on securities law compliance matters, including public offerings, private placements, and regulatory filings;
  • assisting clients in structuring and executing private equity investments, while adhering to applicable legal and regulatory frameworks; and
  • collaborating with cross-functional teams, including tax advisors, financial analysts, and investment bankers, to deliver comprehensive solutions that meet clients' business objectives and maximize value.

Qualifications

The ideal candidate will be qualified to practice law in Québec and have the following credentials:

  • between four (4) to six (6) years of relevant experience in private practice or solid in-house experience primarily focused on commercial transactions, including mergers and acquisitions and private equity;
  • knowledge of securities law is an asset;
  • excellent legal mind;
  • exceptional analytical and problem-solving abilities;
  • fully bilingual (English and French);
  • consummate team player;
  • commitment to excellence; and
  • strong communication and drafting skills.
